SEC Form 8K issued to announce creation of Edd Helms Electric, LLC

During a special called meeting on April 11th, 2007 of the Board of Directors of Edd Helms Group, Inc. it was determined that a new, wholly-owned subsidiary called Edd Helms Electric, LLC needed to be created to properly record revenues, expenses, assets, and liabilities related to the internal business unit called Edd Helms Electric, Trade Shows & Events. This internal business unit is reflected in our SEC filings under the business segment ELECTRIC. Further, following the establishment of Edd Helms Electric, LLC., that all assets (and liabilities) belonging to this subsidiary be pushed down and separated from the assets (and liabilities) of Edd Helms Group. This will leave Edd Helms Group, Inc. as a holding company owning all of the equity interests in Edd Helms Electric, LLC., Edd Helms Air Conditioning, Inc., Edd Helms Marine Air Conditioning & Refrigeration, LLC., Datatelcom, Inc., and EH Showrooms, LLC. A Form 8K announcing this was filed with and accepted by the SEC today.
